Terms & Conditions

1. Definitions

For the purposes of these Terms & Conditions:

  • “Program” means the Canadian Business Growth Grant (CBGG), a private grant initiative administered by NEZDEK.

  • “Grant” means the $2,500 credit applied exclusively toward website design and development services delivered by NEZDEK under the Program.

  • “Applicant” or “Client” means any business or individual submitting an application for the Program or receiving services under it.

  • “Hosting” means the mandatory website hosting service provided exclusively by NEZDEK and required to access and maintain eligibility for the Program.

  • “Services” means website design, development, setup, and related services delivered by NEZDEK under the Program.

  • “Additional Services” means SEO, digital advertising, social media management, content creation, and maintenance, which are not included in the Grant.

  • “Agreement” refers to these Terms & Conditions, along with NEZDEK’s general Terms of Service.

  • “Confidential Information” means any non-public information disclosed during the application or delivery of services.


2. Eligibility and Application

2.1 The Program is open to all Canadian small businesses, including non-profit organizations.
2.2 The Program excludes government agencies, political organizations, and public institutions.
2.3 Incorporation or possession of a CRA Business Number is preferred but not required.
2.4 Each business entity is eligible for only one Grant.
2.5 Applications must be completed accurately. NEZDEK reserves the right to request verification of business identity, incorporation documents, or other evidence of eligibility.
2.6 NEZDEK may reject or revoke applications that are incomplete, fraudulent, or inconsistent with these Terms.


3. Scope of the Grant

3.1 The Grant provides a maximum of $2,500 in value, applied directly to eligible website design and development services.
3.2 The Grant has no cash value and cannot be redeemed, refunded, or transferred to another business or service provider.
3.3 The Grant is applied as a direct credit or discount to NEZDEK’s invoice.
3.4 The Grant may not cover the entire cost of Services. Any scope of work exceeding $2,500 will be quoted separately and is the Client’s responsibility.
3.5 The Grant does not apply to Additional Services such as SEO, digital advertising, social media management, content creation, or maintenance.
3.6 The Grant cannot be combined with other discounts, promotions, or programs.


4. Hosting Requirement

4.1 Hosting through NEZDEK is mandatory to qualify for and maintain the Grant.
4.2 Hosting begins at $50/month (Standard Hosting) and is billed separately from the Grant. Premium hosting tiers are available at higher monthly rates.
4.3 Hosting fees are non-refundable, whether billed monthly or annually.
4.4 The website design and development delivered under this Program is tied to NEZDEK’s hosting environment and may not be migrated, exported, or transferred to another provider without NEZDEK’s prior written consent.
4.5 Failure to maintain hosting payments will result in suspension or termination of website access and forfeiture of the Grant.


5. Payment Terms

5.1 The Grant covers only website development up to $2,500. All other fees are payable by the Client.
5.2 Hosting fees and Additional Services are billed separately and must be paid according to NEZDEK’s billing schedule.
5.3 All fees must be paid in advance. NEZDEK reserves the right to suspend or terminate services for late or non-payment.
5.4 Hosting fees are strictly non-refundable.
5.5 NEZDEK may apply interest charges or collection actions for unpaid balances.


6. Intellectual Property

6.1 NEZDEK retains ownership of all website design, code, and development delivered under this Program unless hosting is actively maintained with NEZDEK.
6.2 Clients retain ownership of their content, including text, images, and logos provided by them.
6.3 If hosting is terminated, the Client’s rights to the website design and code will be revoked, and the Grant will be considered forfeited.
6.4 The Client grants NEZDEK a limited license to use their content solely for the purposes of delivering the Services.


7. Confidentiality

7.1 Both parties agree to protect Confidential Information disclosed during the application and performance of Services.
7.2 Confidential Information does not include information already public or independently developed.
7.3 NEZDEK may disclose application or Client information if required by law.


8. Data Protection & Privacy

8.1 NEZDEK complies with the Personal Information Protection and Electronic Documents Act (PIPEDA) in Canada.
8.2 Information submitted in applications may be used for eligibility verification, program administration, and service delivery.
8.3 Client data will not be sold or shared with third parties except as required to deliver Services.


9. Termination & Revocation of Grant

9.1 NEZDEK may revoke the Grant or terminate participation if:

  • The Client misrepresents eligibility information.

  • Hosting payments are not maintained.

  • The Client breaches these Terms.

9.2 Termination may result in suspension or removal of the website without further notice.
9.3 The Client may terminate participation at any time by cancelling hosting, with no refunds provided.


10. Warranties & Limitations of Liability

10.1 NEZDEK warrants that the website will function as delivered at launch.
10.2 NEZDEK makes no guarantees of specific business outcomes, leads, or revenue from the website.
10.3 NEZDEK shall not be liable for indirect, incidental, or consequential damages, including lost profits or reputational harm.
10.4 NEZDEK is not responsible for issues caused by third-party tools, client-provided content, or misuse of the website.


11. Dispute Resolution

11.1 Any disputes arising from this Program shall first attempt mediation in good faith.
11.2 If unresolved, disputes will be brought exclusively before the courts of Calgary, Alberta, Canada.


12. Force Majeure

NEZDEK shall not be liable for delays or failure to perform caused by events outside its reasonable control, including natural disasters, strikes, technical failures, or government restrictions.


13. Miscellaneous

13.1 This Agreement constitutes the entire understanding between the Client and NEZDEK regarding the Program.
13.2 If any provision is held invalid, the remaining provisions remain enforceable.
13.3 Failure by NEZDEK to enforce any right shall not constitute a waiver.
13.4 The Client may not assign rights under this Program without NEZDEK’s consent.


14. Agreement to Terms

By submitting an application to the Canadian Business Growth Grant, the Client:

  • Confirms they have read and understood these Terms & Conditions.

  • Agrees to be bound by this Agreement and NEZDEK’s general Terms of Service.

  • Acknowledges that acceptance into the Program is at NEZDEK’s sole discretion.
